Corporate Milestone


    • On February 23, 2017, the Shareholders’ Extraordinary Meeting No. 1/2017 had a resolution of important approval as follows:
      • To decrease the registered capital from 257,500,000 baht to 200,000,000 baht, consisting of ordinary shares of 115,000,000 shares, at the par value of 0.50 baht per share in order to cancel the unsold shares from the Company’s registered capital.
      • To increase the registered capital from 200,000,000 baht to 270,000,000 baht through the issuance of 140,000,000 ordinary shares at the par value of 0.50 baht for the IPO, leading to the increase of the registered capital to 270,000,000 baht, consisting ordinary shares of 540,000,000 shares at the par value of 0.50 baht per share.
    • On June 15, 2017, the Shareholders’ Extraordinary Meeting No. 2/2017 had a resolution of important approval as follows:
      • To issue debenture No. 1/2017 worth 210 million at the fixed interest rate of 6.75% per year. It is the Name-Registered Unsubordinated and Secured Debentures, guaranteed by the major shareholder, Mr. Jakkaphong Jakrajutatip, with debenture holders’ representative and the maturity period of 1 year 6 months. The objectives of the issuance of the debenture comprise of management and administration, tax repayment to the Department of Revenue, decreasing the obligation of the penalty which may occur in the future.
    • On August 13, 2017, the Company, in cooperation with History Channel, broadcast the documentary “The Peoples’ Queen” which narrating the biography and gracious manners of Her Majesty Queen Sirikit to celebrate the auspicious occasion of the Queen Sirikit’s 85th Birthday.

    • On May 30, 2016, the meeting of the Board of Directors No. 4/ 2016 had a resolution to approve the 2 sets of debenture issuance worth 400 million baht with the fixed interest rate 6.25% per year. The 2-year Name-Registered Unsubordinated and Secured Debentures with debenture holders’ representative was mainly for working capital and repayment of short term loan to financial institution.
    • The Shareholders’ Extraordinary Meeting No. 1/2016 on June 15, 2016 had a resolution of approval as follows:
      • To convert to a public company limited and change the name to “JKN Global Media Public Company Limited”
      • To change the par value from 100 baht per share to 0.50 baht per share, leading to the increase of the ordinary shares from 2,000,000 shares to 400,000,000 shares.
      • To increase the registered capital from 200,000,000 baht to 257,500,000 baht via the issuance of 115,000,000 ordinary shares at the par value of 0.50 baht for public offering, leading to the registered capital of 257,500,000 baht, consisting of 515,000,000 ordinary shares at the par value of 0.50 baht.
    • On July, 2016, the S.E.C. approved the issuance and the offering of the Company’s 2 sets of debenture No. 1/ 2016 worth 400 million baht at the interest rate of 6.25% per year. The 2-year Name-Registered Unsubordinated and Secured Debentures with debenture holders’ representative were offered to institutional investors and/ or major shareholders.
    • On August 8, 2016, the Company made the repayment of 10 Bills of Exchanges (B/E) worth the amount of not exceeding 180.00 million baht to the investors. They were the secured B/Es with the maturity of not exceeding 180 days.
    • On August 30, 2016, Ms. Pichanya Kanjanaporn sold partial shares to Mrs. Panthira Chatjutamas. After the partial sale of shares, Ms. Pichanya Kanjanaporn and Mrs. Panthira Chatjutamas held the Company’s shares at 1.00% and 2.00% of the registered capital, respectively.
    • In November 2016, the Company received the production and broadcasting rights in Thai from National Broadcasting Company Universal (NBC) of which the programs consist of daily news and economic news, etc.
    • On November 11, 2016, “JKN LSI Co., Ltd.” changed to “JKN News Co., Ltd.”
    • On November 16, 2016, “JKN Broadcast Co., Ltd.” changed to “JKN IMC Co., Ltd.”
    • On December 5, 2016, the Company, in cooperation with Channel 22, a TV operator in Thailand, produced a documentary of the late King’s biography and royal projects, “My King...Happiness, Memory, and Eternity” in remembrance of His Majesty King Bhumibol Adulyadej.

    • On December 25, 2016, Ms. Pichanya Kanjanaporn sold all of held shares to Mr. Saran Saranvejjakul. After the share sale, Mr. Saran held the Company’s shares at 1.00% of the registered capital.
    • On December 29, 2016, the Company received the royal assent to produce the biography and royal duties documentary of His Majesty King Bhumibol Adulyadej, “My King...Happiness, Memory, and Eternity”.
    • On January 27, 2015, received the royal portrait and duty pictures, and the royal profile VDO copies of Her Royal Highness Princess Maha Chakri Sirindhorn to produce a documentary, “My Princess”, and the content from the documentary was published in books and DVDs, and broadcast on local and oversea televisions under the trademark of National Geographic

    • The existing shareholders partially sold shares to Media King Co., Ltd., leading to the shareholding of Media King at 20% of the Company’s registered capital. Media King Co., Ltd. was under the authorization of Mr. Jakkaphong Jakrajutatip.
    • Media King Co., Ltd. sold partial shares to Ms. Pichanya Kanjanaporn. After the partial share offering, Media King Co., Ltd. and Ms. Pichanya Kanjanaporn held shares at 17.00% and 3.00% of the registered capital of the Company, respectively.
    • On April 30, 2015, the Company had acquire the ordinary shares of JKN Broadcast Co., Ltd. from the existing shareholders; Mr. Jakkaphong Jakrajutatip and the related persons directly held shares and/ or had the authorization over the company. After the share acquisition, the Company’s shareholding was at 99.99% of the registered capital of JKN Broadcast Co., Ltd.
    • On July 29, 2015, “JKN Travel CO., Ltd.” changed to “JKN Knowledge Co., Ltd.”
    • On December 11, 2015, “JKN Digital Co., Ltd.” changed to “JKN LSI CO., Ltd.”
    • On February 21, 2014, the Company changed the name from “STGCP Co., Ltd.” to “JKN Living Co., Ltd.”.
    • March 2014, the Company, in cooperation with the Ministry of Finance, and National Geographic produced and distributed documentary and royal commemorative coins, “Buddhism King”.

    • On April 2, 2014, the Company established “JKN Travel Co., Ltd.”, a training institution for individuals, group of persons, and juristic persons with the registered capital of 1,000,000 baht, consisting of 10,000 ordinary shares of 100 baht per share. The Company held 70% of the registered capital. Currently, JKN Travel Co., Ltd. is under consideration of business potentiality.
    • May 30, 2014, the Shareholders’ Extraordinary Meeting No. 9/2014 had a resolution to approve the capital increase from 5,000,000 baht to 100,000,000 baht through the issuance of 950,000 ordinary shares at the par value of 100 baht per share, offering to the existing shareholders and the fund received was used for working capital.
    • On May 30, 2014, the Company changed the name from “JKN Living Co., Ltd.” to JKN Global Media Co., Ltd.”.
    • On June 22, 2014, the Company invested in ordinary shares of “JKN Broadcast Co., Ltd. through share purchasing 70% of the registered capital of JKN Broadcast Co., Ltd., from the existing shareholder who was the major shareholder and the executive of the Company. The registered capital of JKN Broadcast Co., Ltd. was at 1,000,000 baht, consisting of 10,000 ordinary shares at the par value of 100 baht per share.
    • JKN Broadcast Co., Ltd., the subsidiary, was established to operate airtime media buying agency business of satellite TV of group of companies and airtime of digital TV bought from digital TV operators JKN Broadcast Co., Ltd. started its business in Q1/2016. It is the media agency of “JKN Dramax” channel, the channel of the group of companies.
    • On August 14, 2014, the Shareholders’ Extraordinary Meeting No. 21/2014 had a resolution to approve the capital increase from 100,000,000 baht to 200,000,000 baht through the issuance of 1,000,000 ordinary shares at the par value of 100 baht per share, offering to the existing shareholders and the fund received was used for working capital.
    • On September 25, 2014, the Company purchased shares of JKN Travel Co., Ltd. from the existing shareholder, who was the major shareholder and the executive of the Company. After the purchasing of shares, the Company held shares at 99.99% of the registered capital of JKN Travel Co., Ltd.
    • On September 25, 2014, the Company invested in ordinary shares of “JKN Channel Co., Ltd.” through shares purchasing from the existing shareholder who was the major shareholder and the executive of the Company. After the purchasing of shares, the Company held shares at 99.99% of the registered capital of JKN Broadcast Co., Ltd. The registered capital of JKN Broadcast Co., Ltd. was at 1,000,000 baht at the par value of 100 baht per share.
    • JKN Broadcast Co., Ltd., satellite TV business by renting TV station of the connected company before receiving the Radio and Television Broadcasting License (Non Frequency Business) with no owned network from the Office of the National Broadcasting and Telecommunications Commissions (NBTC) for “JKN Dramax” channel on July 11, 2014.
    • On September 25, 2014, the Company invested in “JKN Digital Co., Ltd.” with the objective to operate news channel. JKN Digital Co., Ltd. had the registered capital of 1,000,000 baht, consisting of 10,000 ordinary shares at par value of 100 baht. The Company held shares at 99.99% of the registered capital of JKN Digital Co., Ltd.
    • On September 25, 2014, the Shareholders’ Extraordinary Meeting No. 6/2014 had a resolution to approve the capital increase of JKN Channel Co., Ltd. from 1,000,000 baht to 100,000,000 baht through the issuance of 900,000 ordinary shares at the par value of 100 baht per share, offering to the existing shareholders and the fund received was used for working capital.
    • On October 7, 2014, received the royal assent to humbly use the Queen’s portrait and duty pictures for the 120-minute documentary, “My Queen”, to broadcast on satellite TV, as well as to produce in the forms of book and DVD with the cooperation of National Geographic, USA.

    • On November 5, 2014, received the royal assent to produce the 60-minute documentary, “King Bhumibol of Thailand : The People’s King”.

    • “STGCP Co., Ltd.” was established and registered on May 7, 2013 with the initial registered capital of 1,000,000 baht, consisting of 10,000 ordinary shares, at the pat of 100 baht per share.
    • Assigned by STG Multimedia Co., Ltd. (currently changed the name to JKN Landmark Co., Ltd. or JKN Landmark) to manage and distribute the documentary of “My King”, for the auspicious occasion of the 85th Birthday of His Majesty King Bhumibol Adulyadej. The documentary was produced with National Geographic, USA

    • Assigned by JKN Landmark to manage and distribute T-Shirt “Smile for Dad”, with the royal emblem of Her Royal Highness Princess Maha Chakri Sirindhorn. JKN Landmark bought the royal emblem from The Chaipattana Foundation.

    • Assigned by JKN Landmark to distribute drinking water “PatPat” granted the royal emblem from Her Royal Highness Princess Maha Chakri Sirindhorn. The proceed from the distribution of JKN Landmark went to Knowledge and Profession Encouragement to Farmers Project and other royal projects

    • On October 13, 2013, the Company’s documentary “My King” received the award of “Best Packaging” from National Geographic at MIPCOM, France.

    • On November 27, 2013, received the royal assent to produce a documentary “The People’s King” with History Channel.
    • On December 9, 2013, the Shareholders’ Extraordinary Meeting No. 5/2013 had a resolution to approve the capital increase from 1,000,000 baht to 5,000,000 baht through the issuance of 40,000 ordinary shares at the par value of 100 baht per share, offering to the existing shareholders and the fund received was used for working capital.
